Terms of Service
These Terms of Service ("Terms") govern your use of the COOC platform and services. By creating an account or using COOC, you agree to these Terms.
1. About COOC
COOC is a document management platform designed for NDIS participants and their support networks. COOC provides cloud storage, email services, document organisation, and related features to help users manage their important documents and information.
2. Your Account
To use COOC, you must:
- Be an NDIS participant or authorised representative of an NDIS participant
- Provide accurate and complete registration information
- Keep your password secure and confidential
- Notify us immediately of any unauthorised access to your account
- Be at least 18 years old, or have parental/guardian consent
You are responsible for all activity that occurs under your account.
3. Your Content
You retain ownership of the documents, files, and data you upload to COOC ("Your Content"). By using COOC, you grant us permission to store, process, and transmit Your Content as necessary to provide the service, including making backups and sharing with parties you authorise.
You are solely responsible for Your Content and must ensure you have the right to upload and store it.
4. Acceptable Use
You agree not to:
- Use COOC for any unlawful purpose
- Upload malicious software, viruses, or harmful code
- Attempt to gain unauthorised access to our systems or other users' accounts
- Share your account credentials with others
- Use COOC in any way that could damage or impair the service
- Upload content that infringes others' intellectual property rights
5. Subscription and Payment
COOC is a paid service funded through NDIS plans. By subscribing:
- You agree to pay the applicable subscription fees
- Fees are billed annually in advance
- We may change our fees with 30 days notice
- Refunds are provided at our discretion
6. Service Availability
We strive to keep COOC available at all times, but we do not guarantee uninterrupted access. The service may be temporarily unavailable due to:
- Scheduled maintenance
- Technical issues or outages
- Circumstances beyond our reasonable control
7. Limitation of Liability
Important: Please read this section carefully as it limits our liability to you.
To the maximum extent permitted by law, COOC Pty Ltd and its related parties shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from loss, corruption, or unauthorised access to Your Content
- Damages arising from service interruptions or outages
- Damages arising from third-party actions or services
- Damages exceeding the fees you paid to us in the 12 months prior to the claim
You acknowledge that:
- No data storage system is 100% secure
- You use COOC at your own risk
- You are responsible for maintaining your own backups of critical documents
- We are not responsible for the accuracy or completeness of Your Content
8. Indemnification
You agree to indemnify and hold harmless COOC Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of COOC
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content
9. Disclaimer of Warranties
COOC is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Accuracy, reliability, or completeness of the service
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful components
10. Termination
We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion. Upon termination:
- Your right to access COOC will cease immediately
- We may delete Your Content after a reasonable period
- Provisions that by their nature should survive will remain in effect
11. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the platform. Continued use of COOC after changes constitutes acceptance of the modified Terms.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
13. General
- These Terms constitute the entire agreement between you and COOC regarding the service
- Our failure to enforce any provision does not waive our right to do so later
- If any provision is found unenforceable, the remaining provisions will continue in effect
- You may not assign or transfer your rights under these Terms
